1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and MYNA Global LLC, a limited liability company registered in the State of Colorado, USA ("Company," "we," "us," or "our"), governing your use of our website at mynaglobal.us and all digital marketing and advertising services we provide.
By accessing our website, submitting an inquiry, signing a Service Agreement, or engaging our services in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our website or engage our services.
2. Description of Services
MYNA Global LLC is a full-service digital marketing and advertising agency. Our services include, but are not limited to:
- Paid Social Advertising — Campaign management on Facebook, Instagram, and TikTok
- Search Engine Advertising — Google Ads campaign strategy, setup, and management
- E-commerce Platform Advertising — Advertising on Amazon, Shopify, and similar platforms
- Influencer Marketing — Influencer identification, outreach, and campaign coordination
- Media Buying & Strategy Consulting — Programmatic media buying, channel planning, and strategic advisory
- Growth Strategy — Comprehensive digital growth roadmaps and performance analysis
Specific service deliverables, timelines, and fees are detailed in individual Service Agreements or Statements of Work (SOW) executed between the Company and each Client.
3. Client Responsibilities
3.1 Account Access and Materials
The Client agrees to:
- Provide MYNA Global LLC with timely access to advertising accounts, analytics platforms, websites, and any other tools necessary for service delivery.
- Supply all required creative assets, brand guidelines, product information, and content approvals in a timely manner.
- Ensure that all materials provided to us are owned by the Client or that the Client has proper authorization to use them.
3.2 Accuracy of Information
The Client represents and warrants that all information, content, and materials provided to MYNA Global LLC are accurate, complete, lawful, and do not infringe upon any third-party rights.
3.3 Compliance
The Client is responsible for ensuring that their products, services, and business practices comply with all applicable laws, regulations, and the advertising policies of each platform (Meta, Google, TikTok, etc.). MYNA Global LLC is not liable for ad disapprovals, account suspensions, or penalties resulting from Client non-compliance.
3.4 Timely Communication
The Client agrees to respond to requests for approvals, information, or feedback within the timeframes specified in the applicable Service Agreement. Delays caused by the Client may affect campaign timelines and deliverables.
4. Fees and Payment
4.1 Service Fees
Fees for services are as specified in the applicable Service Agreement or Statement of Work. Unless otherwise agreed, fees are quoted in US Dollars (USD).
4.2 Billing Schedule
- Monthly retainer fees are billed in advance at the start of each service period.
- One-time fees (setup, onboarding, project-based work) are invoiced per the timeline specified in the Service Agreement.
- Additional work outside the agreed scope will be quoted and billed separately.
4.3 Payment Terms
Invoices are due within 15 days of the invoice date unless otherwise specified in the Service Agreement. Accepted payment methods will be detailed in the invoice.
4.4 Late Payments
Payments not received by the due date will incur a 1.5% monthly late fee (18% per annum) on the outstanding balance. MYNA Global LLC reserves the right to pause or suspend all services until outstanding balances are settled.
4.5 Ad Spend
Ad spend budgets are separate from service fees unless explicitly bundled in the Service Agreement. The Client is responsible for funding their advertising platform accounts. MYNA Global LLC does not profit from ad spend and will not be held liable for ad spend incurred on third-party platforms.
5. Intellectual Property
5.1 Client-Owned Materials
All intellectual property rights in materials provided by the Client (logos, brand assets, product images, copy, etc.) remain the sole property of the Client.
5.2 Company-Created Deliverables
Upon receipt of full payment, MYNA Global LLC transfers to the Client all intellectual property rights in custom deliverables created specifically for the Client under the applicable Service Agreement (e.g., ad creatives, copy, reports).
5.3 Company Proprietary Assets
MYNA Global LLC retains all rights to its proprietary methodologies, templates, frameworks, software tools, internal processes, and general know-how. These are not transferred to the Client under any circumstances.
5.4 Portfolio Rights
MYNA Global LLC reserves the right to reference the Client as a customer and to use anonymized campaign results as case studies or portfolio examples, unless the Client explicitly requests otherwise in writing.
6. Confidentiality
Both parties agree to keep confidential any non-public information shared in the course of the business relationship, including but not limited to campaign strategies, pricing, proprietary data, and business plans. This obligation survives the termination of any Service Agreement for a period of two (2) years.
Neither party shall disclose the other party's Confidential Information to any third party without prior written consent, except as required by law or as necessary to fulfill obligations under the Service Agreement (e.g., sharing with trusted subcontractors under equivalent confidentiality obligations).
7. Performance and Results
7.1 No Guarantee of Results
Digital marketing performance is influenced by numerous variables outside our control, including platform algorithm changes, market competition, economic conditions, and audience behavior. MYNA Global LLC does not guarantee specific advertising results, including but not limited to impressions, clicks, leads, conversions, revenue, or return on ad spend (ROAS), unless explicitly stated in a written performance guarantee within the Service Agreement.
7.2 Good Faith Efforts
MYNA Global LLC commits to providing services with professional skill, care, and diligence, and to using industry best practices to pursue the objectives defined in the Service Agreement.
8. Term and Termination
8.1 Term
Services commence on the start date specified in the Service Agreement and continue for the period stated therein (monthly, quarterly, annually, or project-based).
8.2 Termination by Client
The Client may terminate a service engagement by providing written notice per the notice period specified in the applicable Service Agreement (typically 30 days). The Client remains responsible for all fees incurred up to the effective date of termination, including fees for the notice period.
8.3 Termination by Company
MYNA Global LLC reserves the right to terminate services with written notice if:
- The Client fails to make payment within 30 days of the due date.
- The Client materially breaches these Terms or the Service Agreement and fails to remedy the breach within 14 days of written notice.
- The Client's business or requested services are found to be in violation of applicable law or platform policies.
8.4 Effect of Termination
Upon termination, the Company will deliver all completed work product to the Client. Access to third-party accounts and tools will be returned to the Client. Outstanding balances become immediately due and payable.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- MYNA Global LLC's total liability to the Client for any claim arising out of or relating to these Terms or the services provided shall not exceed the total fees paid by the Client in the three (3) months preceding the claim.
- In no event shall MYNA Global LLC be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.
- MYNA Global LLC is not liable for actions taken by third-party advertising platforms, including but not limited to account suspension, ad disapproval, policy changes, or platform outages.
10. Indemnification
The Client agrees to indemnify, defend, and hold harmless MYNA Global LLC and its officers, directors, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- The Client's breach of these Terms or any Service Agreement.
- The Client's products, services, or business practices.
- Any material or content provided by the Client that infringes third-party rights or violates applicable law.
- The Client's use or misuse of deliverables provided by MYNA Global LLC.
11. Website Use
11.1 Permitted Use
You may access our website for lawful purposes related to evaluating or engaging our services. You may not use the website to transmit harmful, offensive, or illegal content, or to attempt unauthorized access to our systems.
11.2 Third-Party Links
Our website may contain links to third-party websites. These links are provided for convenience only. MYNA Global LLC has no control over, and assumes no responsibility for, the content or practices of any third-party sites.
11.3 Availability
We do not warrant that our website will be uninterrupted, error-free, or free of viruses. We reserve the right to modify, suspend, or discontinue any part of the website at any time without notice.
12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal legal proceeding, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days following written notice of the dispute.
12.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law principles.
12.3 Jurisdiction
Any unresolved dispute shall be submitted to the exclusive jurisdiction of the state and federal courts located in Denver County, Colorado.
13. General Provisions
13.1 Entire Agreement
These Terms, together with any applicable Service Agreement or Statement of Work, constitute the entire agreement between the parties with respect to the subject matter herein and supersede all prior understandings or agreements.
13.2 Amendments
MYNA Global LLC reserves the right to update these Terms at any time by posting the revised version on our website. Material changes will be communicated to active clients. Continued use of our services after changes take effect constitutes acceptance.
13.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13.4 Waiver
Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that party's right to enforce it in the future.
13.5 Assignment
The Client may not assign any rights or obligations under these Terms without our prior written consent. MYNA Global LLC may assign these Terms in connection with a merger, acquisition, or sale of assets.
